Terms & Conditions of Service

1. Introduction

Welcome to Webstudio Chokdee.

These Terms & Conditions of Service ("Terms") govern the use of our website and the professional services provided by Webstudio Chokdee ("we", "our", "us").

By requesting a quotation, placing an order, signing a proposal, or using our services, you ("the Client") agree to these Terms.

2. Services

Webstudio Chokdee provides professional digital services including, but not limited to:

  • Website design
  • Website development
  • Website migration
  • Website maintenance
  • Search Engine Optimisation (SEO)
  • Answer Engine Optimisation (AEO)
  • Performance optimisation
  • Website consulting
  • Digital marketing related services

The exact scope of each project is defined in the quotation or proposal accepted by the Client.

Webstudio Chokdee will perform its services with reasonable care, skill, and professional diligence in accordance with generally accepted industry standards.

While we strive to deliver every project within the agreed schedule, estimated delivery dates are dependent on timely cooperation from the Client and may be adjusted where circumstances reasonably require.

3. Quotations

Unless otherwise stated:

  • Quotations remain valid for 30 days.
  • Prices are exclusive of taxes unless specified otherwise.
  • Acceptance may be made electronically.
  • Work will commence after acceptance and receipt of the first payment where applicable.

4. Project Scope

Only services specifically described in the accepted quotation are included.

Any additional requests outside the agreed scope constitute additional work and may be quoted separately or charged at the applicable hourly rate as quoted for that work.

5. Payment Terms

Unless otherwise agreed in writing, payment shall be made according to the following schedule:

  • 40% upon project commencement.
  • 40% upon delivery of the first complete version for review.
  • 20% upon final acceptance and publication.

Invoices are payable by the due date stated on the invoice.

Webstudio Chokdee reserves the right to suspend work if invoices become overdue. Work will resume once all outstanding amounts have been received, and project timelines may be adjusted accordingly.

6. Client Responsibilities

The Client agrees to:

  • provide all required content, images, branding, and other materials;
  • ensure that supplied materials do not infringe third-party rights;
  • provide timely approvals and feedback;
  • appoint a primary contact person authorised to make project decisions.

Delays caused by the Client may affect the agreed delivery schedule.

The Client warrants that all information, materials, instructions, approvals, and feedback provided are accurate, complete, and lawful.

The Client is responsible for obtaining all necessary permissions and licences for any content supplied to Webstudio Chokdee.

7. Project Delays

If required content, approvals, or feedback are not received in time, project deadlines will automatically be extended accordingly.

If a project remains inactive due to Client delay for more than 30 calendar days, Webstudio Chokdee may:

  • place the project on hold;
  • allocate development capacity to other projects;
  • revise the project schedule based on future availability.

Resuming a paused project will be subject to available capacity and may require a revised delivery date.

If Webstudio Chokdee anticipates a significant delay caused by circumstances within our reasonable control, we will inform the Client as soon as reasonably practicable and provide an updated estimated delivery schedule.

8. Revisions

Unless otherwise stated in the quotation:

  • Three (3) revision rounds are included.
  • A revision round consists of one consolidated set of requested changes.
  • Additional revisions or new functionality requested after the included revisions may be charged separately.

Changes outside the agreed project scope are not considered revisions.

9. Delivery and Acceptance

A project shall be considered accepted when:

  • the Client confirms acceptance in writing;
  • the website is published at the Client's request; or
  • the Client does not report any material defects within ten (10) business days after delivery.

Minor defects that do not materially affect the intended operation or usability of the website shall not delay acceptance and will be corrected within a reasonable period.

10. Publication

Publication may occur:

  • on hosting managed by Webstudio Chokdee; or
  • on hosting designated by the Client.

The Client remains responsible for maintaining any third-party accounts required for operation unless otherwise agreed.

11. Hosting

Where Webstudio Chokdee provides hosting services, hosting remains under our management unless otherwise agreed.

Upon request, websites may be transferred to another hosting provider chosen by the Client, provided:

  • all outstanding invoices have been paid;
  • any applicable migration costs have been paid.

Transfer assistance beyond standard export may be quoted separately.

12. Website Maintenance Plans

Maintenance plans are subscription services.

Unless otherwise stated:

  • subscriptions continue until cancelled;
  • cancellation requires one calendar month's written notice;
  • unused maintenance credits expire according to the applicable maintenance agreement.

13. Client Content

The Client warrants that they own or have obtained all necessary rights to any content supplied, including:

  • text;
  • photographs;
  • videos;
  • logos;
  • trademarks;
  • downloadable files.

The Client indemnifies Webstudio Chokdee against claims arising from materials supplied by the Client.

14. Intellectual Property

Ownership of the completed website and agreed project deliverables transfers to the Client only after all invoices relating to the project have been paid in full.

Ownership does not include:

  • third-party software;
  • licensed components;
  • plugins;
  • fonts;
  • stock photography;
  • open-source software;
  • reusable frameworks;
  • proprietary development tools;
  • internal methodologies.

Any applicable third-party licence terms shall continue to apply.

Where a website is provided without charge as part of a promotional campaign, sponsorship, or other special offer, ownership, intellectual property rights, hosting arrangements, and any transfer rights shall be governed by the separate written agreement applicable to that promotion.

15. Portfolio Rights

Unless otherwise agreed in writing, Webstudio Chokdee may display completed projects in:

  • our portfolio;
  • presentations;
  • marketing materials;
  • social media;
  • award submissions.

Confidential information will not be disclosed.

16. Search Engine Optimisation (SEO) and AEO

Webstudio Chokdee applies recognised industry best practices when providing SEO and AEO services.

SEO and AEO are intended to improve the technical quality, discoverability, and visibility of a website. However, search engine rankings, indexing, AI visibility, website traffic, enquiries, sales, and business growth depend on numerous factors outside our control.

Accordingly, Webstudio Chokdee does not guarantee any specific ranking, indexing status, traffic volume, lead generation, commercial result, or placement within search engines or AI platforms.

17. Third-Party Services

Projects may rely on services provided by third parties including:

  • hosting providers;
  • domain registrars;
  • analytics providers;
  • payment providers;
  • AI platforms;
  • search engines;
  • external APIs.

Webstudio Chokdee is not responsible for interruptions, policy changes, pricing changes, discontinued services, or failures caused by third parties.

18. Browser Compatibility

Websites are developed and tested using current versions of major browsers.

Compatibility with obsolete or unsupported browsers is not guaranteed.

19. Warranty

Unless otherwise agreed, Webstudio Chokdee provides a 30-day warranty from the date of publication.

The warranty covers defects directly resulting from our work.

The warranty does not cover:

  • new features;
  • design changes;
  • client modifications;
  • third-party software updates;
  • hosting issues;
  • browser updates;
  • content changes.

20. Refund Policy

Payments compensate for professional time, expertise, and resources allocated to a project.

Accordingly, payments for work already performed are non-refundable.

If a project is cancelled by the Client after work has commenced, the Client remains responsible for payment for:

  • all work completed up to the cancellation date;
  • any completed project milestones;
  • any non-cancellable third-party costs incurred on the Client's behalf.

21. Limitation of Liability

To the maximum extent permitted by law, Webstudio Chokdee's total liability arising from any project shall not exceed the total amount paid by the Client for that specific project.

Webstudio Chokdee shall not be liable for:

  • indirect damages;
  • consequential damages;
  • loss of revenue;
  • loss of profits;
  • loss of business opportunities;
  • loss of goodwill;
  • loss of data;
  • business interruption.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

22. Confidentiality

Both parties agree to treat confidential information obtained during the project as confidential and not disclose such information except where required by law.

23. Force Majeure

Neither party shall be liable for delays or failure to perform due to events beyond reasonable control, including but not limited to:

  • natural disasters;
  • war;
  • governmental actions;
  • internet outages;
  • power failures;
  • labour disputes;
  • cyber attacks;
  • failures of third-party service providers.

24. Privacy

Personal information is processed in accordance with our Privacy Policy and applicable privacy legislation, including Thailand's Personal Data Protection Act (PDPA).

25. Suspension of Services

Webstudio Chokdee may suspend work or access to services if:

  • invoices become overdue;
  • the Client materially breaches these Terms;
  • required information or approvals are not provided;
  • continuation of the project would require unlawful, unethical, or technically unsafe actions.

Any resulting delay shall not constitute a breach of these Terms by Webstudio Chokdee.

26. Good Faith Resolution of Disputes

Before commencing formal legal proceedings, both parties agree to make reasonable efforts to resolve any dispute through good-faith discussions.

If a mutually acceptable solution cannot be reached within a reasonable period, either party may pursue any remedies available under applicable law.

27. Governing Law

These Terms are governed by the laws of the Kingdom of Thailand.

Any dispute arising from these Terms shall be submitted to the competent courts of Thailand unless otherwise agreed by the parties.

28. Changes to these Terms

Webstudio Chokdee reserves the right to amend these Terms from time to time.

The latest version will always be published on our website with the updated effective date.
